1. Services
Webcubator Technologies Labs provides software development, digital marketing, automation, and AI development services as agreed in individual project proposals and statements of work. All engagements are governed by a signed proposal or contract.
2. Payment Terms
Project fees are invoiced as outlined in the proposal, typically 50% upfront and 50% on completion. Retainer services are invoiced monthly in advance. Invoices are due within 14 days of issue. Late payments may incur interest at 2% per month.
3. Intellectual Property
Upon full payment, all custom code, designs, and deliverables created for a client project become the property of that client. We retain the right to showcase work in our portfolio unless a confidentiality agreement is in place. Third-party licences, open-source components, and stock assets remain under their respective licences.
4. Confidentiality
Both parties agree to keep confidential any proprietary information, business data, or trade secrets shared during the engagement. We are happy to sign a mutual NDA before discussions begin on request.
5. Revisions and Scope
Project proposals include a defined scope of work. Changes outside the agreed scope are quoted and billed separately. We document all scope changes in writing before proceeding.
6. Warranties and Limitations
We warrant that all work is delivered with reasonable care and skill. We do not warrant that digital products will be error-free or uninterrupted. Our liability is limited to the fees paid for the specific service in question.
7. Termination
Either party may terminate a retainer engagement with 30 days written notice. Project engagements may be terminated for material breach with 14 days notice to cure. Fees for work completed to the termination date remain payable.
8. Governing Law
These terms are governed by the laws of India for engagements with Indian clients, and by the laws of the client's jurisdiction for international engagements, unless otherwise agreed in writing.
